Physician Services Agreement

You provide professional medical services to PRIME members as an independent physician. You exercise independent medical judgment in every evaluation, diagnosis, treatment and prescribing decision. PRIME does not direct clinical decisions, and nothing in this agreement creates employment, partnership or agency.

You represent that you hold, and will maintain, an active unrestricted license in each state where you see PRIME members; DEA registration where you prescribe controlled substances; and professional liability coverage at the levels in the confidential terms. You will notify the practice within two business days of any complaint, investigation, restriction, exclusion or lapse.

Care follows accepted standards and the practice's clinical protocols, including: verifying member identity and location before prescribing; recording informed consent before treatment; following state telehealth rules; using the practice's laboratory monitoring schedules and titration protocols; and labelling therapies honestly by regulatory status.

You publish the visit times you choose; members can book only those. You close out each visit with notes in the platform, respond to member messages within one business day, and tell the practice in advance of planned absences so members can be covered.

Visit notes, protocols, messages and lab reviews are kept in the practice's platform, which maintains access logs. Records belong to the practice and the member; you retain the right to access records of care you provided for your own professional purposes, consistent with privacy law.

Compensation is set out in the confidential fee schedule shown in your onboarding portal and paid monthly for completed visits and active protocol management, based on the platform's records. Compensation is never tied to the volume or value of prescriptions, laboratory orders or referrals.

This agreement begins when the practice activates your profile and continues until either party ends it with thirty days' written notice, or immediately for loss of licensure, exclusion, breach of confidentiality, or conduct endangering members. On ending, you cooperate in transitioning members in your care, and confidentiality obligations continue.

This agreement is governed by the laws of [State]. It, with the confidential terms and the confidentiality agreement, is the whole agreement between the parties and may be changed only in writing. Electronic signature in the onboarding portal is binding.
